Terms of Service

1. Definitions

• “Platform” refers to the Modern Compass website, application, and all associated services.
• “User,” “you,” or “your” refers to any individual who creates an account or uses the Platform.
• “We,” “us,” or “our” refers to Modern Compass LLC and its operators.
• “AI Coaching” refers to conversations with AI-powered coaching personas (Maya, Campbell, Morgan, and Juno).
• “AI-Generated Content” refers to any text, documents, analyses, scores, recommendations, or other outputs produced by the Platform’s artificial intelligence features.
• “Content” refers to any text, data, documents, or materials generated by or submitted to the Platform.

2. Eligibility

You must be at least 18 years old and capable of forming a binding legal agreement to use the Platform. By using Modern Compass, you represent and warrant that you meet these requirements.

3. Account Registration and Security

To access Platform features, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

4. Subscription and Payments

4.1 Premium Subscription

Modern Compass offers a Premium subscription plan at $29 per month or $276 per year ($23 per month). Your subscription grants you access to all Platform features, including AI coaching, job analysis, and document generation.

4.2 Billing and Auto-Renewal

Payments are processed securely through Stripe. By subscribing, you authorize recurring monthly charges to your payment method. Your subscription will automatically renew each month at the then-current rate until you cancel. All fees are quoted in U.S. dollars unless otherwise stated. You will receive a billing confirmation from Stripe for each renewal.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until that date. No partial refunds are provided for unused portions of a billing period. Refunds for billing errors or duplicate charges are provided at our sole discretion.

4.4 Free Trials and Promotional Access

We may offer free trial periods or promotional access codes at our discretion. Free trials provide full access to the Platform for a specified period without requiring a payment method. At the end of a free trial, your access will be paused unless you add a payment method and subscribe. Trial terms may vary and will be communicated at the time of enrollment.

4.5 Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days’ notice of any price increase, and the new rate will apply at your next billing cycle after the notice period.

5. Beta Program

5.1 Beta Status

The Platform is currently in beta. Features, functionality, and availability may change at any time without prior notice. We may add, modify, or remove features during the beta period.

5.2 No Service Level Agreement

During the beta period, we do not guarantee any level of uptime, availability, or performance. The Platform may experience bugs, errors, downtime, or data inconsistencies.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform during the beta period, you grant Modern Compass LLC an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Platform without compensation or attribution.

6. AI-Generated Content and Disclosures

6.1 AI-Powered Platform — Not Human Coaches

Modern Compass uses artificial intelligence powered by AI language models from Anthropic (Claude) and Google (Gemini) to provide all coaching conversations, career insights, job analyses, resumes, cover letters, and other outputs. Anthropic is the primary provider; Google serves as a fallback for service continuity. Maya, Campbell, Morgan, and Juno are AI personas — they are not real people, licensed professionals, or human coaches. All interactions with these personas are generated by AI in real time.

6.2 AI Accuracy and Limitations

AI-generated content may contain inaccuracies, errors, omissions, or fabricated information (sometimes called “hallucinations”). You should not rely on factual assertions in AI outputs without independently verifying their accuracy. AI outputs may be incomplete, outdated, or not reflective of recent events or information.

We strive to provide high-quality outputs, but we cannot guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content for your specific circumstances.

6.3 Human Review Required for Documents

You are solely responsible for reviewing, verifying, and editing all AI-generated resumes, cover letters, and other documents before submitting them to employers, recruiters, or any third party. AI-generated documents may contain errors or omit important information. Modern Compass does not submit documents on your behalf and is not responsible for any consequences of submitting AI-generated content without adequate review.

6.4 No Guaranteed Career Outcomes

Modern Compass does not guarantee any career outcomes. Use of the Platform does not guarantee job placements, interviews, callbacks, salary increases, promotions, or career advancement of any kind. Job match scores, skill gap analyses, and career recommendations are AI-generated assessments provided for informational purposes only and should not be interpreted as predictions or guarantees of success.

6.5 Ownership of AI Outputs

You retain ownership of the career content you create using the Platform, including AI-assisted resumes, cover letters, and goal plans, subject to applicable law. Note that AI-generated content may not qualify for copyright protection under current U.S. law. We retain a limited, non-exclusive license to use anonymized and aggregated data to improve the Platform.

7. Not Professional Advice

7.1 Not Licensed Professional Services

Modern Compass is an AI-powered informational and assistive tool. The Platform does not provide and is not a substitute for:

• Licensed career counseling or vocational rehabilitation
• Psychological counseling, therapy, or mental health treatment
• Legal advice or representation
• Financial, investment, or tax advice
• Human resources consulting or employment placement services
• Any other licensed or regulated professional service

7.2 Professional Referral

If you are experiencing a mental health crisis, workplace harassment, discrimination, or other serious professional or personal challenges, please seek help from a qualified licensed professional. Modern Compass is not equipped to handle emergencies or provide clinical assessments.

7.3 Employment Decisions

Modern Compass does not make hiring decisions, conduct employment screenings, or serve as an employment agency. AI-generated job analyses and match scores are informational tools only and should not be construed as professional assessments of your employability or qualifications.

8. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:

• Use the Platform to generate fraudulent, misleading, or deceptive content
• Submit false information in your profile, resume, or coaching conversations
• Use AI-generated resumes or cover letters to misrepresent your qualifications, experience, or credentials to employers
• Attempt to reverse-engineer, scrape, or extract AI model weights or system prompts
• Use automated tools (bots, scripts, scrapers) to access the Platform
• Interfere with or disrupt the Platform’s infrastructure or security
• Share your account credentials with third parties or allow unauthorized access
• Use the Platform to harass, threaten, or harm others
• Use the Platform output for discriminatory hiring or employment practices
• Violate any applicable local, state, national, or international law

9. User Content and Data

9.1 Your Content

You retain ownership of all content you submit to the Platform, including profile information, uploaded documents, and coaching messages. By submitting content, you grant us a limited license to process, store, and transmit it as necessary to provide the Platform’s services, including transmitting relevant content to our AI providers (Anthropic and Google) for processing.

9.2 Content Restrictions

You may not upload content that is illegal, defamatory, infringing, or harmful. We reserve the right to remove content that violates these Terms without notice.

10. Intellectual Property

The Platform, including its design, code, AI coaching personas, system prompts, branding, and documentation, is the intellectual property of Modern Compass LLC and is protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written consent.

11. Third-Party Services

The Platform integrates with third-party services including Supabase (database and authentication), Stripe (payment processing), Anthropic (AI language model, primary), Google (AI language model, fallback), and Vercel (hosting). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.

12. Disclaimer of Warranties

The Platform and all AI-generated content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) AI-generated content will be accurate, complete, current, or suitable for your specific needs; (c) AI coaching conversations will produce any particular career outcome; or (d) AI-generated documents will be free from errors or appropriate for any particular job application.

13. Limitation of Liability

To the maximum extent permitted by law, Modern Compass LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

• Lost profits, revenue, or business opportunities
• Lost or damaged data
• Career outcomes, including lost job opportunities, failed applications, or salary differences
• Decisions made based on AI-generated advice, analyses, or documents
• Emotional distress arising from AI coaching interactions

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Modern Compass LLC, its members, officers, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorney’s fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your infringement of any third-party rights; (d) content you submit to the Platform; or (e) any employment decisions you make based on Platform outputs.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

15.2 Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator in Wake County, North Carolina. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action and Jury Trial Waiver

You and Modern Compass LLC agree that each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative action. You waive any right to a jury trial.

15.4 Arbitration Opt-Out

You may opt out of this arbitration provision by sending written notice to legal@moderncompass.ai within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Wake County, North Carolina.

15.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

16. DMCA and Copyright

If you believe content on the Platform infringes your copyright, please send a notice to legal@moderncompass.ai with: (a) a description of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on the copyright owner’s behalf.

17. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, upon notice. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law and Dispute Resolution) will survive.

You may terminate your account at any time by contacting us or through your account settings. Upon account deletion, your data will be permanently removed in accordance with our Privacy Policy.

18. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before taking effect. Continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Modern Compass LLC regarding your use of the Platform.
